Our valued international law firm client is seeking a Paralegal for a full-time position, supporting their Corporate Securities department.
Seeking a dynamic and experienced Paralegal specialized in Securities to join the Corporate Department and work in collaboration with the securities lawyers of the Calgary office. The incumbent will also be integrated into the corporate commercial and capital markets group and receive work from other regions from time to time. This role will also have a hybrid legal assistant responsibility and will support the administrative needs of their assigned lawyers.
Essential Functions + Responsibilities:
- Drafting securities legal opinions;
- Acting as a first point of contact for large private companies and assisting with their securities law related needs;
- Assist lawyers in preparing documentation and closing agendas related to securities offerings, transfers, mergers and acquisitions, takeover bids and repurchase offers, etc.;
- Assist public companies in meeting their continuous disclosure obligations, including the preparation of various notices to securities regulators and disclosure documents;
- Prepare and draft insider reports, early warning reports, press releases, etc.;
- Ensure the filing of documents and data entry with securities regulators and Canadian stock exchanges through SEDAR+ and SEDI software;
- Conduct research using SEDAR+, SEDI software or websites and various other research sites;
- Assist the Knowledge Management team with the collection and management of securities precedents;
- Assist the lawyers in the Capital Markets practice group with transactional monitoring and ongoing market studies; and
- Stay abreast of developments in capital markets regulation and present these developments as needed.
Qualifications + Competencies:
- Completion of a post-secondary Legal Assistant, Paralegal diploma or law degree.
- A minimum of 1-2 years’ paralegal experience (large firm experience preferred) and other experience in legal industry is an asset.
- Accreditation in CORES III is required.
- Knowledge of the Alberta Securities Commission (ASC) and related regulations, particularly in terms of securities distribution, continuous disclosure obligations of issuers and insiders, the alert system and securities procedures.
- Proficiency in SEDAR+, SEDI and Canadian stock exchanges software and websites.
- Proficiency in ALF.
- Excellent analytical skills, a keen judgement to solve complex problems and a solution-orientated attitude.
- Excellent communication and interpersonal skills and the ability to exercise independent judgment are required.
