Our valued national law firm client is seeking a Corporate Paralegal for a full-time position, supporting their Corporate Services department.
The Paralegal works closely with a team of Corporate Clerks and assists Calgary Legal Professionals in providing billable legal services to the Firm’s clients, handles routine administrative matters associated with maintaining a corporation’s corporate records and registrations including completing forms and preparing documents for review by Legal Professionals.
Primary Deliverables + Responsibilities:
- Maintaining corporate records on an annual basis by identifying what needs to be updated, prepares resolutions for routine matters such as dividend declarations, changes to directors and officers, name change, annual resolutions, obtains client signatures
- Preparing documents required for incorporations, extra provincial registrations of corporations, general and limited partnerships, amalgamations, dissolutions, amendments, and continuances; prepares articles and notices to other provinces to notify of changes using specific forms and resolutions
- Updating and maintaining the legal entity management software and minute books by:
- Ensuring documents comply with the applicable legislation (e.g. BCA, CBCA)
- Noting deficiencies and preparing remedial resolutions, where required
- Arranging for required government filings such as articles, notices of change and annual returns
- Assisting in maintaining the precedent system by providing input and suggestions for changes, preparing precedents when requested
- Maintaining confidentiality of Firm, client, and employee information
- Liaising with corporate clerks in our other offices as well as corporate searchers
- Assisting with other transactional and administrative matters as required
Position Requirements
Education + Experience
This position requires an undergraduate university degree and/or a College Law Clerk Certificate, plus a minimum of six years of relevant experience in a Corporate Law practice. An equivalent combination of education, training and experience may be acceptable.
